Standard Terms and Conditions

  1. Conditions of Engagement - Primary Flow Signal, Inc. (PFS)
    1. The nature and preponderance of the work that is preformed and provided by PFS is essentially unique and specifically designed for the discrete applications of clients entering into a contract to purchase goods and services.
    2. Such being the case, every commercial engagement is governed by and PFS shall be bound under the strict adherence to:
      1. PFS will produce and provide the client a unique "submittal" in which detailed specification(s) are provided setting forth exactly the product(s) and/or service(s) that PFS will provide responsive to the body of and in context to specifications required by client
      2. It is the responsibility of the client to review comment, amend, and/or ultimately approve said submittal in writing returning an official signed copy of thereof based on which, PFS will deem the engagement to be formally approved and released for manufacture.
      3. PFS will not proceed to manufacture until and unless such approved copy of the relevant submittal is received from client.
    3. Upon receipt of the approved submittal:
      1. A minimum of 15% of the face value of the purchase order shall be deemed earned by PFS.
      2. Assuming commercial considerations are satisfied, PFS will proceed to manufacture approved product.
    4. Client assumes all risk that the material selection it has approved of the specified product is appropriate to the anticipated and actual installation conditions.
    5. Client assumes all risk of the merchantability of the approved product(s) and/or service(s).
    6. Change orders initiated by the client may incur additional costs and expenses. Within ten business days, PFS will notify client of any charges that may be applicable.
      1. Client will then have ten business days to determine whether the changes are appropriate indicating the affirmative option by providing to PFS a duly executed change-order and new or revised purchase order reflecting the approval of said charges.
      2. Change orders may, and usually do, affect the manufacturing schedule and therefore the delivery date.
    7. Any special jigs, fixtures, patterns, tools, dies, changes thereto, special equipment, and the like remain the exclusive property of PFS, without credit to the customer.
    8. Unless expressly confirmed in writing by PFS to the contrary, all designs, engineering, drawings, calculations, physical embodiments, technical data, trade secrets, trade literature, software, procedures, reports, limited license for use of same, and commercial data remain the sole and exclusive property of PFS without limitation. Under no circumstance may the foregoing, all hereby deemed proprietary and confidential to PFS, be used except for the specific purpose intended by PFS as documented and memorialized by Purchase Order, Contract, Submittal, and/or Invoice except that the same shall be first approved in writing by authorized official of PFS.
  2. Payments Terms -
    1. Standard domestic commercial terms of sale are Net 30 days, subject to credit determination by PFS.
    2. Irrespective thereof, at any time, should PFS feel insecure in granting credit, or granting additional credit, terms of sale may be changed at any time.
    3. International terms are strictly L/C confirmed by PFS principal bank.
    4. Other terms may apply by special negotiation at the time of order placement.

  4. Cancellation Policy -
    1. Generally, due to the fact that the merchandise produced and sold by PFS is essentially engineered to order and produced for the unique use and application of the client and its discrete requirement, PFS does not accept returns of merchandise for credit.
    2. Cancellation of an order will incur fees and charges proportionate to the stage of the PFS process at which such cancellation is sought. Contact PFS for specific clarification.
  5. PFS reserves the right to change the foregoing in any respect without prior notice at its sole discretion.
